Biography
ADAM FOX
Adam Fox is Partner at Brown Fox Kizzia & Johnson and Chair of the firm's Corporate and Securities group. Adam specializes in counseling his clients in corporate and securities transactions and business litigation matters. He is passionate about working with businesses, including start-ups and entrepreneurs, to understand their business objectives and to provide a full range of services to help them meet those objectives. The breadth of Adam's experience allows him to assist his clients with their most important business decisions.
Adam’s clients come from a wide range of industries, including the professional services, investment, finance, transportation, and equine industries. Adam’s focus includes:
- Private equity and exempt securities offerings.
- Company formation, including choice of entity, organization, compliance, establishing contracts, and financing.
- Separation of business partners and corporate dissolution.
- Mergers, acquisitions and conversions.
- Business disputes, including contract disputes; shareholder disputes; fraud; and debt collection matters.
- Equine law, including business formation; drafting, reviewing and negotiating contracts; boarding and training agreements; debt collection; liens; and creating and enforcing equine security interests.

- Formation and Series A preferred stock financing round representing investor LLC in digital coupon company start-up.
- Formation and seed round private equity financing of start-up wholesale/dealer-direct online distribution of aftermarket motorcycle parts company.
- Separation of physician group representing physician partner.
- Purchase of insurance agencies representing purchaser entrepreneur.
- Drafting client and supplier contracts involving international transportation of household goods representing start-up online platform for procurement and management of global moving services.
- Negotiating and drafting vendor contracts and debt collection matters representing international transportation company.
- Lead counsel in shareholder litigation representing commercial construction company.
- Formation and structuring of physician practice group.
- Formation and seed round financing of online fantasy football platform.
- Collection of judgment representing health and wellness clinic.
- Counseling new businesses regarding entity formation, establishing reliable contracts, dealing with employment issues, and other matters critical to getting businesses off the ground.
- Representing horse owners, trainers and boarders in business disputes; insurance disputes; and negotiating and drafting sales contracts, boarding agreements, and training agreements.
In the Community
- Provide pro bono representation to 2ndSaturday, a faith-based Community Development Corporation based in West Dallas focused on: 1) serving the senior, low income, and/or disabled (SLID) homeowner of Dallas; and 2) inner city economic development. Education
Adam received his Bachelor’s Degree from the University of North Texas in 1996. During his time at U.N.T., Adam played on the soccer team and was a member of Lambda Chi Alpha fraternity. The fall after graduation, Adam attended law school at Southern Methodist University. During his three years at S.M.U., Adam served on the International Law Review, twice made the Dean’s List in fall of 1996 and the spring of 1997, and graduated cum laude in 1999. Adam also completed an externship with Legal Services of North Texas representing women in matters involving child custody and domestic violence.

Personal
Adam and his family moved to Richardson, Texas in 1979. For over 30 years, Adam has lived and attended school in the Dallas/Fort Worth Metroplex area. Adam and his wife, Angela, currently live in Oak Point with their dog, Butch, and horses, Haley and Dawson. Adam is an avid sports fan and enjoys playing soccer and supporting his wife’s obsession with showing quarter horses.
